Scope and Product Definition
OmniLume Reel is a desktop app for video material research and organization. It helps users import authorized videos, analyze visuals, search scenes, organize notes and tags, and save reusable clips before editing.
In these Terms, 'OmniLume Reel', 'the Product', or 'the Software' includes the desktop application, the omnilume.app website, account and subscription validation functionality, software updates, documentation, and support services we provide in connection with the Product. Software License and Account Use
Subject to your compliance with these Terms, applicable law, and plan limitations, we grant you a limited, non-exclusive, non-transferable, and non-sublicensable license to install and use OmniLume Reel on supported devices for lawful video research, asset management, analysis assistance, and clip library workflows.
You must safeguard your account credentials and subscription entitlements. You may not rent, lease, resell, share with unauthorized third parties, or circumvent account validation, quota limits, subscription status, technical protections, or software update requirements.
Authorized Content and Prohibited Uses
You must ensure you hold all necessary rights, licenses, or authorizations for any video, audio, images, subtitles, metadata, or other content you import, analyze, download, edit, export, republish, commercialize, or otherwise use. OmniLume Reel grants no rights to third-party content and does not override restrictions imposed by third-party platforms, copyright holders, or data sources.
You may not use the Product for infringement, unauthorized streaming, unauthorized copying, circumvention of access controls, bulk scraping of restricted content, spyware, device unlocking, keylogging, deepfakes, voice impersonation, adult services, gambling, medical or financial advice, VPN/proxy services, malicious automation, fraud, harassment, privacy violations, or any illegal, misleading, or high-risk purpose.
AI Analysis and Third-Party Services
Certain features may invoke operating system capabilities, browser sessions, third-party video platforms, AI model services, network services, or payment services. Such third-party services are provided by their respective providers and governed by their terms, privacy policies, availability, rate limits, and content policies.
AI-assisted analysis results may contain errors, omissions, biases, delays, or be unsuitable for specific contexts. You are responsible for reviewing outputs and for any editing, publishing, commercial use, compliance determinations, or other decisions based on them. Outputs must not be relied upon as the sole basis for legal, medical, financial, safety, or other professional advice.
Subscriptions, Billing, and Refunds
Paid subscriptions are processed by the payment provider's applicable checkout or buyer terms as the merchant of record. The payment provider may collect or display local currency, VAT, GST, sales tax, invoice information, and other checkout details based on your location, payment method, and applicable law. You may also be required to accept the payment provider's applicable buyer terms at checkout.
Subscriptions renew automatically until canceled. You may cancel via the payment provider or in-product mechanisms; cancellation stops future renewals but does not automatically refund the current paid period. Refund requests are handled per Refunds and may affect or revoke active paid entitlements.
Updates, Availability, and Support
We may update the Product to fix issues, improve functionality, adjust plan benefits, or meet security or compliance requirements. Some features may require installation of newer versions to remain available; older versions may receive limited or no ongoing support.
We will use reasonable efforts to maintain availability of the Product and related services, but do not guarantee uninterrupted, error-free, or continuous operation across all regions, platforms, network environments, third-party service statuses, or content sources.
Disclaimer, Limitation of Liability, and Amendments
To the fullest extent permitted by law, OmniLume Reel is provided 'as is' and 'as available', without warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, or output accuracy, whether express or implied.
To the maximum extent permitted by law, OmniLume Reel shall not be liable for indirect, incidental, special, consequential, punitive damages, data loss, business interruption, profit loss, or losses arising from third-party services, user content, or unauthorized use. We may update these Terms to reflect product, legal, or operational changes; updated Terms become effective upon posting to the website.
